1. Acceptance of Terms

Welcome to IOOEx ("IOOEx", "we", "us", or "our"). By accessing, browsing, registering an account, or otherwise using our website, mobile applications, application programming interfaces, and any related products or services (collectively, the "Services"), you agree to be bound by these Terms of Service, any additional terms and policies referenced herein, and all applicable laws and regulations.

These Terms constitute a legally binding agreement between you and IOOEx. If you do not agree to all of these Terms, you must not access or use the Services in any manner. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Your continued use of the Services following the posting of any changes to these Terms constitutes your acceptance of the revised Terms. If you do not wish to be bound by the updated Terms, you must stop using the Services before the changes become effective.

2. Definitions

For the purposes of these Terms, the following capitalized terms shall have the meanings set forth below. Other terms are defined where they first appear in the text.

• "Account" means the user account you create to access and use the Services.
• "Content" means all text, data, graphics, logos, and other materials made available through the Services.
• "Cryptocurrency" or "Digital Asset" means a digital representation of value that is cryptographically secured and recorded on a distributed ledger.
• "On-Ramp" means the service that allows you to purchase Cryptocurrency using fiat currency through third-party payment providers.
• "Prediction Market" means the service that allows you to enter into contracts based on the outcome of future events.
• "Stock Contract" means a derivative contract referencing the price movement of an underlying equity instrument.
• "User" or "you" means any individual or entity that accesses or uses the Services.
• "Verification" or "KYC" means the identity verification process required to use certain features of the Services.
• "Fees" means the charges imposed by IOOEx for the use of certain features of the Services.
• "Restricted Jurisdiction" means any country, territory, or region where the use of the Services is prohibited or restricted by law.

3. Eligibility

You must be at least 18 years of age (or the age of legal majority in your jurisdiction of residence) to create an Account and use the Services. By using the Services, you represent and warrant that you meet this age requirement and are legally capable of entering into binding contracts.

You must not be located in, incorporated in, or a citizen or resident of a Restricted Jurisdiction. You represent that you are not listed on any restricted-party or sanctions list, and that your use of the Services will not violate any applicable law or regulation.

IOOEx reserves the right to refuse service, limit access, or terminate Accounts at its sole discretion, including where it determines that a User does not meet eligibility requirements or where providing the Services would violate applicable law.

4. Account Registration and Security

To use certain features of the Services, you must register an Account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your Account credentials, including your password and any two-factor authentication credentials, and for all activities that occur under or through your Account.

You agree to notify IOOEx immediately of any unauthorized access to or use of your Account, or any other security breach of which you become aware. IOOEx is not liable for any loss or damage arising from your failure to comply with these obligations.

You may not transfer, sell, or assign your Account to any other person or entity. Any attempt to do so is void and may result in immediate termination of your Account.

5. Identity Verification (KYC)

To use features such as deposits, withdrawals, trading, and On-Ramp purchases, you must complete our identity verification process (KYC). This process may require you to provide government-issued identification documents, proof of address, biometric data such as selfies, and other information reasonably necessary to verify your identity.

You agree to provide accurate, current, and complete information during verification and to update such information if it changes. IOOEx may suspend or terminate your access to the Services if the information you provide is false, misleading, outdated, or cannot be verified.

IOOEx may rely on third-party verification providers and may share your information with them for the purpose of completing verification. Verification may take time, and IOOEx is not responsible for any delay or denial of verification.

6. Description of Services

IOOEx operates a global platform that provides Prediction Markets, Stock Contracts, Cryptocurrency On-Ramp services, and related financial products. The specific features available to you may vary depending on your jurisdiction, verification status, and applicable law.

IOOEx reserves the right to modify, suspend, or discontinue any part of the Services, including adding or removing features, at any time and with or without notice. IOOEx is not liable to you or any third party for any modification, suspension, or discontinuance of the Services.

Certain Services may be subject to additional terms and conditions, which are incorporated into these Terms by reference. In the event of a conflict between these Terms and any additional terms, the additional terms shall prevail with respect to the relevant Service.

7. Prediction Markets

Prediction Markets allow you to enter into contracts based on the outcome of future events. The outcome of such contracts is determined by predefined resolution criteria published at the time the contract is offered.

You acknowledge that participating in Prediction Markets involves significant risk, including the risk of losing the full amount you commit to a contract. Past outcomes do not guarantee future results, and IOOEx does not provide any guarantee regarding the outcome of any prediction.

IOOEx reserves the right to cancel, modify, or resolve any Prediction Market contract in accordance with its published rules, including in cases of error, fraud, market manipulation, or events that make resolution impossible or impractical.

8. Stock Contracts

Stock Contracts are derivative contracts that reference the price movement of underlying equity instruments, including US, Korean, and Japanese stocks. Stock Contracts do not represent ownership of, or entitlement to, any underlying security.

You acknowledge that Stock Contracts are speculative instruments that carry significant risk, including the risk of total loss of your committed funds. The value of Stock Contracts may be affected by market conditions, corporate actions, and other factors beyond IOOEx's control.

IOOEx does not provide investment advice regarding Stock Contracts. You are solely responsible for evaluating the suitability and risks of any Stock Contract before entering into it.

9. Crypto On-Ramp

The On-Ramp service allows you to purchase Cryptocurrency using fiat currency through third-party payment providers. On-Ramp transactions are processed by such third parties, and IOOEx is not a party to the payment transaction between you and the provider.

You acknowledge that On-Ramp transactions are subject to the terms, fees, processing times, and limits imposed by the third-party provider, as well as applicable law. IOOEx is not responsible for any failure, delay, or error on the part of the provider.

Cryptocurrency purchased through the On-Ramp may be subject to price volatility. IOOEx is not liable for any loss in value of Cryptocurrency you purchase, hold, or transfer through the Services.

10. Trading and Transactions

All transactions you initiate through the Services are final and binding once executed. You are solely responsible for evaluating the risks, terms, and consequences of any transaction before initiating it.

Prices, fees, availability of assets, and other transaction parameters may change without notice. IOOEx does not guarantee any specific outcome, execution price, or profit from your transactions.

You acknowledge that trading Prediction Markets, Stock Contracts, and Cryptocurrencies involves a high degree of risk, including the risk of losing substantially all of your committed funds. You should not trade with funds you cannot afford to lose.

IOOEx may, at its discretion, impose limits on transaction sizes, frequencies, and other parameters, and may reject, cancel, or reverse any transaction that it determines to be erroneous, fraudulent, or in violation of these Terms.

11. Fees and Charges

IOOEx may charge Fees for certain Services, including trading fees, On-Ramp processing fees, withdrawal fees, and other charges. Applicable Fees are disclosed at the time of the relevant transaction or in the fee schedule published on the platform.

IOOEx may change its Fee schedule at any time, with updated Fees applying only to transactions initiated after the change takes effect. You are responsible for reviewing the current Fee schedule before initiating any transaction.

Unless otherwise required by law, all Fees are non-refundable. Third-party providers may impose additional fees that are separate from and in addition to IOOEx's Fees.

12. Taxes

You are solely responsible for determining, reporting, and paying any taxes arising from your use of the Services, including taxes on gains, transactions, and holdings. IOOEx does not provide tax advice and is not responsible for your tax obligations.

IOOEx may, where required by applicable law, withhold taxes from transactions or report transaction information to tax authorities. You agree to cooperate with IOOEx in fulfilling any such obligations.

13. Prohibited Conduct

You agree not to use the Services for any unlawful, fraudulent, or abusive purpose, and not to engage in any conduct that could damage, disable, or impair the Services. The following list is illustrative and not exhaustive:

IOOEx may suspend or terminate your Account and take any other action it deems appropriate if you engage in any prohibited conduct.

• Money laundering, terrorist financing, or other financial crimes.
• Fraud, misrepresentation, or providing false information during registration or verification.
• Market manipulation, including wash trading, spoofing, or coordinated trading to influence prices.
• Use of the Services from or on behalf of a Restricted Jurisdiction or restricted party.
• Attempting to disrupt, reverse engineer, or compromise the security of the Services.
• Using automated systems, bots, or scrapers to access the Services in a manner that exceeds authorized use.
• Violating the intellectual property rights or privacy of any person.
• Facilitating access to the Services by ineligible or unauthorized persons.

14. Intellectual Property

All Content, software, trademarks, logos, and other intellectual property made available through the Services are owned by IOOEx or its licensors and are protected by applicable laws. Nothing in these Terms grants you any right, title, or interest in such intellectual property except as expressly stated.

You may not copy, modify, distribute, or create derivative works based on the Content without the prior written consent of IOOEx. Unauthorized use of any intellectual property may result in termination of your Account and legal action.

Any feedback, suggestions, or ideas you provide regarding the Services may be used by IOOEx without restriction or compensation to you.

15. Disclaimer

The Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

IOOEx does not warrant that the Services will be uninterrupted, secure, error-free, or that defects will be corrected, nor that the Services or any Content are free of viruses or other harmful components. You use the Services at your own risk.

IOOEx does not provide financial, legal, or tax advice. Any information provided through the Services is for general informational purposes only and should not be relied upon as the sole basis for any decision.

16. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall IOOEx, its affiliates, officers, directors, employees, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of the Services.

IOOEx's total aggregate liability for all claims arising out of or related to these Terms or the Services shall not exceed the total amount of Fees you paid to IOOEx in the twelve (12) months preceding the event giving rise to the claim.

The limitations and exclusions in this section apply even if any remedy fails of its essential purpose, to the fullest extent permitted by law.

17. Indemnification

You agree to indemnify, defend, and hold harmless IOOEx, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services or your violation of these Terms.

IOOEx reserves the right, at its own expense, to assume the exclusive defense of any matter subject to indemnification by you, in which case you will cooperate with IOOEx in such defense.

18. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable law, without regard to its conflict-of-law provisions. You and IOOEx submit to the jurisdiction of the competent courts as designated by IOOEx for the resolution of any dispute.

Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in accordance with applicable rules.

You agree that you will not bring any claim as a plaintiff or class member in any class action or representative proceeding, and that any dispute will be resolved on an individual basis.

19. Changes to These Terms

IOOEx may update or modify these Terms at any time, in its sole discretion. The most current version will always be available on this page, with the "Last updated" date indicating when the Terms were last revised.

Your continued use of the Services after any change becomes effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.

20. Suspension and Termination

IOOEx may suspend or terminate your Account and access to the Services at any time, with or without cause or notice, including if IOOEx determines that you have violated these Terms or applicable law.

Upon termination, your right to use the Services ceases immediately. You remain responsible for all obligations and liabilities incurred prior to termination, including the payment of any outstanding Fees.

You may close your Account at any time by contacting our support team through the Help Center, subject to the completion of any pending transactions and verification requirements.
